Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Kozi real estate platform operated by Kozi ("we", "us", or "our"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years old to use Kozi. By creating an account, you represent that you meet this requirement. Agents additionally confirm they hold an active real-estate license in all jurisdictions in which they operate.

2. Listing Data — Source & Limitations

All property listings displayed on Kozi are sourced exclusively from third-party Multiple Listing Service (MLS®) data feeds provided by PropTx (IDX and VOW data feeds). These feeds are operated and owned by the applicable real estate boards and MLS® providers and are subject to their own terms of use. The MLS® marks are owned by the Canadian Real Estate Association (CREA).

By using Kozi, you acknowledge and agree that:

• Listing data may be delayed, incomplete, or contain errors. Kozi makes no warranty — express or implied — about the accuracy, completeness, currency, or availability of any listing.
• Active listing data is sourced from the IDX feed and reflects the publicly-available subset of MLS® data.
• You must independently verify all listing information directly with the listing agent or brokerage before making any offer, purchase, or leasing decision.
• Listing data is provided for your personal, non-commercial use only. You may not reproduce, redistribute, or scrape listing data for any other purpose.
• Kozi connects buyers and renters with licensed real estate professionals and brokerages. Kozi does not provide real estate, legal, or financial advice, and nothing on the Platform constitutes a solicitation or representation in respect of any property.

2a. VOW Registrant Agreement — Sold & Off-Market Data

The information provided herein must only be used by consumers that have a bona fide interest in the purchase, sale or lease of real estate and may not be used for any commercial purpose or any other purpose.

Sold and off-market listing data is sourced from the PropTx Virtual Office Website (VOW) data feed and is governed by the rules of the Toronto Regional Real Estate Board (TRREB), PropTx Innovations Inc., and the Canadian Real Estate Association (CREA). Access to this data requires registration and is subject to the following terms, which you accept by creating an account and clicking to agree.

By registering, you are entering into a broker-consumer relationship with the Member of Record — Benjamin Frias, Salesperson, RE/MAX Realtron Realty Inc., Brokerage (Broker of Record: Alex Pilarski) — through whose MLS® membership this VOW data access is provided. You acknowledge and accept this relationship as a condition of accessing sold and off-market data through Kozi.

• Identity & email verification. You must provide your legal name and a valid email address. Kozi will send a confirmation email to the address you provide; you may access VOW data only after that email address has been verified as valid and you have agreed to these Terms of Use. An email address may be associated with only one username and password.
• Password security & expiry. Your password must be unique to your account. Passwords are valid for up to 90 days, after which they must be renewed or reconfirmed. Kozi maintains a record of each consumer's name, email address, username, and current password for not less than 180 days after expiry.
• Bona fide interest. You represent that you have a bona fide interest in the purchase, sale, or lease of real estate of the type offered through Kozi. The information provided herein must only be used by consumers that have such a bona fide interest and may not be used for any commercial purpose or any other purpose.
• Personal use only. All MLS® data accessed through Kozi — including sold, off-market, and active listings — is intended only for your personal, non-commercial use, specifically to assist you in evaluating, purchasing, renting, or leasing real property for your own use.
• No redistribution. You will not copy, redistribute, retransmit, or otherwise use any of the data or Listing Information provided, except in connection with your consideration of the purchase, sale, or lease of an individual property.
• No display or sublicensing. You will not, directly or indirectly, display, post, disseminate, distribute, publish, broadcast, transfer, sell, or sublicense any Listing Information to another person or entity. Prohibited uses expressly include "scraping" (including screen-scraping and database-scraping), "data mining," and any other activity intended to collect, store, re-organize, summarize, or manipulate any Listing Information or related data.
• Ownership of MLS® data. You acknowledge PropTx Innovations Inc.'s ownership of, and the validity of PropTx's proprietary rights and copyright in, the MLS® database, the MLS® data, PropTx's MLS® System, and all Listing Information accessed through Kozi.
• Compliance verification. By registering, you authorize PropTx Innovations Inc., the Toronto Regional Real Estate Board (TRREB), and other PropTx Members or their duly authorized representatives to access Kozi solely for the purpose of verifying compliance with MLS® Rules and Policies (including the VOW Rules) and monitoring the display of Members' listings by Kozi.
• Account integrity. You must provide accurate registration information including your legal name, email address, and phone number. Providing false information voids your right to access VOW data and may result in immediate account suspension.
• Accuracy. Sold data reflects MLS® records at the time of the transaction and may not reflect subsequent corrections, re-listings, or off-MLS transactions. Data is deemed reliable but is not guaranteed accurate by PropTx. Always verify independently with the listing brokerage before relying on any sold price or date.
• Contact consent. By registering, you consent to being contacted by Kozi and its affiliated licensed real estate professionals regarding listings you view or save. You may opt out of marketing communications at any time via your account settings or by emailing legal@kozi.app.

This VOW Registrant Agreement does not impose any financial obligation on you and does not create any representation or agency agreement between you and the Member or Kozi. By creating an account and clicking to accept, you affirmatively agree to all of the terms above. A mouse-click to acknowledge is sufficient to constitute agreement to these Terms of Use.

Your registration information is collected, used, and disclosed in accordance with our Privacy Policy, which describes how your Personal Information — including your name, email address, username, and access history — may be shared with PropTx Innovations Inc. and the applicable real estate board(s) for auditing and/or legal purposes.

3. Account Registration

• You are responsible for maintaining the confidentiality of your account credentials.
• You must provide accurate and complete information when registering.
• You are responsible for all activity that occurs under your account.
• Notify us immediately at legal@kozi.app if you suspect unauthorized access.

4. Acceptable Use

You agree not to:

• Scrape, crawl, or automate access to any part of the Platform.
• Reverse-engineer, decompile, or attempt to extract source code.
• Impersonate another user, agent, or Kozi employee.
• Use automated or personalized features to generate misleading content, spam, or fake listings.
• Upload or transmit malware, viruses, or harmful code.
• Violate any applicable law or regulation.
• Reproduce or redistribute MLS listing data outside the Platform.

5. Personalization & automation

Kozi offers personalized features including listing recommendations, buyer journey summaries, and lead analysis. These are provided for informational convenience only and do not constitute professional advice. Automated suggestions may be inaccurate — always verify with a licensed professional before acting on any output from the Platform.

We may disable personalized or automated features or limit usage for individual accounts if we detect abuse, excessive usage, or policy violations. Your listings, saves, and history remain intact if those features are restricted.

6. Agent Accounts

Agents who subscribe to the Kozi lead program agree to respond professionally and promptly to buyer inquiries. Kozi reserves the right to remove agents from the lead program for non-compliance, fraud, or complaints verified by our team.

7. Payments & Subscriptions

Agent subscriptions are billed through Stripe. Subscription fees are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days' written notice.

8. Intellectual Property

All Platform content — excluding third-party MLS listing data — is owned by Kozi and protected by copyright. You may not reproduce, distribute, or create derivative works without our express written consent.

9. Disclaimers & Limitation of Liability

The Platform is provided "as is" and "as available" without warranty of any kind. To the maximum extent permitted by law, Kozi is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform or reliance on listing data.

Our total liability to you for any claim arising from use of the Platform shall not exceed the amount you paid us in the 12 months preceding the claim (or CAD $100 if you paid nothing).

10. Account Suspension & Termination

We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or extended inactivity. You may delete your account at any time by contacting legal@kozi.app.

11. Changes to These Terms

We may update these Terms. Material changes will be announced via in-app banner or email at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
