Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Kozi real estate platform operated by Kozi ("we", "us", or "our"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years old to use Kozi. By creating an account, you represent that you meet this requirement. Agents additionally confirm they hold an active real-estate license in all jurisdictions in which they operate.

2. Listing Data - Source & Limitations

All property listings displayed on Kozi are sourced exclusively from third-party Multiple Listing Service (MLS®) data feeds provided by PropTx (IDX and VOW data feeds). These feeds are operated and owned by the applicable real estate boards and MLS® providers and are subject to their own terms of use. The MLS® marks are owned by the Canadian Real Estate Association (CREA).

By using Kozi, you acknowledge and agree that:

• Listing data may be delayed, incomplete, or contain errors. Kozi makes no warranty - express or implied - about the accuracy, completeness, currency, or availability of any listing.
• Active listing data is sourced from the IDX feed and reflects the publicly-available subset of MLS® data.
• You must independently verify all listing information directly with the listing agent or brokerage before making any offer, purchase, or leasing decision.
• Listing data is provided for your personal, non-commercial use only. You may not reproduce, redistribute, or scrape listing data for any other purpose.
• Kozi connects buyers and renters with licensed real estate professionals and brokerages. Kozi does not provide real estate, legal, or financial advice, and nothing on the Platform constitutes a solicitation or representation in respect of any property.

2a. VOW Registrant Agreement - Minimum Terms of Use

The information provided herein must only be used by consumers that have a bona fide interest in the purchase, sale or lease of real estate and may not be used for any commercial purpose or any other purpose.

Appendix B - Minimum Terms of Use contents to be included in Member VOW as per PropTx's MLS® Rules and Polices.

The Member of Record for this website is Benjamin Frias, Salesperson, RE/MAX Realtron Realty Inc., Brokerage (Broker of Record: Alex Pilarski; Member number 9522022), through whose MLS® membership this VOW data access is provided. These terms are version 2026-07-22 and apply only to app.kozi.homes.

A Member's VOW must obtain the identity of each Consumer and obtain each Consumer's agreement to Terms of Use of the VOW, as follows:

(a) Consumers must provide their name and a valid email address. The Member must send an email to the address provided by the Consumer confirming that the Consumer has agreed to the Terms of Use (described in paragraph 7(c) below). The Consumer may be permitted to access the VOW only after the Member has verified that the email address provided is valid and that the Consumer agreed to the Terms of Use.

(b)The Consumer must supply a username and a password, the combination of which must be different from those of all other Consumers on the VOW, before being permitted to search and retrieve Listing Information via the VOW. The username and password may be established by the Consumer or may be supplied by the Member, at the option of the Member. An email address may be associated with only one username and password. Consumers' passwords may be valid for up to 90 days, after which such passwords must be renewed or reconfirmed. The Member must, at all times, maintain a record of the name and email address supplied by the Consumer, and the username and current password of each Consumer. Such records must be kept for not less than 180 days after the expiration of the validity of the Consumer's password. If PropTx has reason to believe that a Member's VOW has been the cause of, or permitted a breach in, the security of the MLS® data or a violation of this VOW Policy, or the MLS® Rules and Policies (including the VOW Rules) related to use by one or more Consumers, the Member shall, upon request of PropTx, provide to PropTx a copy of the record of the name, email address, username, current password, and audit trail, if required, of any Consumer identified by PropTx to be suspected of involvement in the breach or violation.

(c)The Consumer must be required to affirmatively express agreement to a “Terms of Use” agreement that requires the Consumer to open and review an agreement that provides at least the following:

1. That the Consumer acknowledges entering into a lawful broker-consumer relationship with the Member.
2. That all MLS® data obtained from the VOW is intended only for the Consumer's personal, non-commercial use.
3. That the Consumer has a bona fide interest in the purchase, sale, or lease of real estate of the type being offered through the VOW.
4. That the Consumer will not copy, redistribute, retransmit, or otherwise use any of the data or Listing Information provided, except in connection with the Consumer's consideration of the purchase, sale, or lease of an individual property.
5. That the Consumer acknowledges PropTx's ownership of, and the validity of PropTx's proprietary rights and copyright in the MLS® database, MLS® data, PropTx's MLS® System, and Listing Information.
6. That the Consumer will not, directly or indirectly, display, post, disseminate, distribute, publish, broadcast, transfer, sell or sublicense any Listing Information to another individual or entity. The prohibited uses expressly include “scraping” (including “screen scraping” and “database scraping”), “data mining” or any other activity intended to collect, store, re-organize, summarize or manipulate any Listing Information or any related data.
7. After the Consumer has opened for viewing the Terms of Use agreement, a “mouse click” is sufficient to acknowledge agreement to those terms. The Terms of Use agreement may not impose a financial obligation on the Consumer or create any representation agreement between the Consumer and the Member.
8. The Terms of Use agreement shall also expressly authorize PropTx, and other PropTx Members or their duly authorized representatives, to access the VOW for the purposes of verifying compliance with MLS® Rules and Policies (including the VOW Rules) and monitoring the display of Members' Listings by the VOW.
9. Every VOW must display a privacy policy that boldly informs Consumers of, and obtains Consumers' consent to, all the ways in which Personal Information that they provide may be collected, used or disclosed, including the fact that Personal Information may be shared with PropTx for auditing and/or legal purposes.

Your Personal Information - including your name, email address, username, and access history - may be shared with PropTx Innovations Inc. and the applicable real estate board(s) for auditing and/or legal purposes, in accordance with our Privacy Policy.

3. Account Registration

• You are responsible for maintaining the confidentiality of your account credentials.
• You must provide accurate and complete information when registering.
• You are responsible for all activity that occurs under your account.
• Notify us immediately at jvalente@kozi.homes if you suspect unauthorized access.

4. Acceptable Use

You agree not to:

• Scrape, crawl, or automate access to any part of the Platform.
• Reverse-engineer, decompile, or attempt to extract source code.
• Impersonate another user, agent, or Kozi employee.
• Use automated or personalized features to generate misleading content, spam, or fake listings.
• Upload or transmit malware, viruses, or harmful code.
• Violate any applicable law or regulation.
• Reproduce or redistribute MLS listing data outside the Platform.

5. Personalization & automation

Kozi offers personalized features including listing recommendations, buyer journey summaries, and lead analysis. These are provided for informational convenience only and do not constitute professional advice. Automated suggestions may be inaccurate - always verify with a licensed professional before acting on any output from the Platform.

We may disable personalized or automated features or limit usage for individual accounts if we detect abuse, excessive usage, or policy violations. Your listings, saves, and history remain intact if those features are restricted.

6. Agent Accounts

Agents who subscribe to the Kozi lead program agree to respond professionally and promptly to buyer inquiries. Kozi reserves the right to remove agents from the lead program for non-compliance, fraud, or complaints verified by our team.

7. Payments & Subscriptions

Agent subscription fees are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days' written notice.

8. Intellectual Property

All Platform content - excluding third-party MLS listing data - is owned by Kozi and protected by copyright. You may not reproduce, distribute, or create derivative works without our express written consent.

9. Disclaimers & Limitation of Liability

The Platform is provided "as is" and "as available" without warranty of any kind. To the maximum extent permitted by law, Kozi is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform or reliance on listing data.

Our total liability to you for any claim arising from use of the Platform shall not exceed the amount you paid us in the 12 months preceding the claim (or CAD $100 if you paid nothing).

10. Account Suspension & Termination

We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or extended inactivity. You may delete your account at any time by contacting jvalente@kozi.homes.

11. Changes to These Terms

We may update these Terms. Material changes will be announced via in-app banner or email at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
